    "content": "The rationale is that as it is presently in the law, the directors of a company may exercise powers to allot shares only if authorised by both the articles of association and a resolution of the company. This amendment seeks to only allow allotment of shares by a resolution of the company, which is not fair. The directors should be given that power by the memorandum and articles of association of the company. That is the essence of rejecting that proposal."
